Customer Terms & Conditions

Welcome to Cyndtek! The following terms govern the sale of products (“Products”) and services (“Services”) provided by Cyndtek and its affiliates (“Seller”). By purchasing from Cyndtek, you agree to these terms. Please review them carefully.

1. Acceptance of Orders  All orders placed are subject to approval by Cyndtek. Orders cannot be canceled or rescheduled without written consent. Some products are designated as non-cancellable and non-returnable (“NCNR”). Special terms for NCNR products will override any conflicting conditions.

2. Pricing & Taxes

• Pricing: Prices are those listed on the invoice. Unshipped product prices may increase due to market changes or other factors.
• Expiration: Price quotes expire after 10 business days unless otherwise stated.
• Additional Costs: Prices do not include shipping, insurance, or taxes. Buyers must cover all applicable federal, state, and local taxes unless a valid tax exemption certificate is provided. Any exemptions must be submitted with each tax-exempt order.

3. Payment Terms

Payment is due within 30 days of the invoice date unless specified otherwise. Late payments incur a 1.5% monthly interest fee. Failure to pay on time may result in order cancellation or suspension.

Cyndtek reserves the right to review and modify payment terms based on the buyer’s financial status or payment history. Buyers remain responsible for any past-due payments and additional fees for collections.

4. Shipping & Delivery

• Shipping: All shipments are EXW (Ex Works) from Cyndtek’s facility, meaning buyers assume responsibility once the product is delivered to the carrier.
• Delivery Dates: Estimated delivery dates are not guaranteed and Cyndtek is not responsible for delays due to factors beyond its control, such as shipping delays or natural disasters.

5. Warranty & Liability

• Warranty: Cyndtek will pass on any manufacturer warranties available. Cyndtek makes no additional warranties and assumes no responsibility for third-party services or products.
• Limited Warranty: Cyndtek offers a 1-year limited warranty on products from the date of delivery. If a product is found to be defective, Cyndtek may repair, replace, or refund the product at its discretion. The total liability is limited to the purchase price.
• Liability Limitations: Cyndtek is not responsible for indirect, special, or consequential damages, including business interruptions or loss of profits.

6. Returns & Cancellations

• NCNR Products: Products marked as non-cancellable and non-returnable cannot be returned. All returns require a Return Merchandise Authorization (RMA). Products must be returned in original packaging and meet minimum package quantity requirements.
• Return Deadline: Authorized returns must be made within 10 days of receiving the RMA.

7. Shortages, Errors, & Damages

Claims for shipment shortages or damages must be reported within 10 days of delivery. Returns without an RMA will be rejected.

8. Export Compliance

Buyers are responsible for complying with all applicable export and import laws, including U.S. export laws. Products cannot be re-exported to countries or entities restricted by U.S. law.

9. Use of Products

Cyndtek’s products are not designed for use in life-support, medical, or nuclear applications. If used in such applications, the buyer assumes all risk and agrees to hold Cyndtek and the manufacturer harmless from any resulting claims or damages.

10. Intellectual Property

Software or intellectual property provided with products is subject to the respective license agreements. Cyndtek makes no claims regarding the intellectual property rights of products supplied by third-party manufacturers.

11. Force Majeure

Cyndtek is not liable for delays or failure to deliver due to events beyond its control, such as natural disasters, strikes, or government actions. Delivery deadlines may be extended during such events without penalty.

12. Entire Agreement

These terms represent the complete agreement between Cyndtek and the buyer. Any amendments must be in writing and signed by both parties. These terms override any conflicting provisions in buyer’s purchase orders or communications.
