Customer Terms & Conditions

These Terms & Conditions govern the sale of products and services by Cyndtek LLC (“Cyndtek,” “we,” “us,” or “Seller”). By placing an order with Cyndtek, you agree to these Terms & Conditions.

Any additional or conflicting terms contained in a buyer’s purchase order, correspondence, or other document will not apply unless specifically accepted by Cyndtek in writing.

Acceptance of Orders

All orders are subject to acceptance and approval by Cyndtek. Submission of an order does not constitute acceptance until Cyndtek confirms or processes the order.

Orders may not be canceled, changed, or rescheduled without Cyndtek’s written authorization. Certain products may be designated as non-cancellable and non-returnable (“NCNR”). Any NCNR designation communicated before or at the time of sale will control over conflicting return or cancellation provisions.

Pricing & Taxes

Prices are based on the quotation, website listing, or invoice applicable to the transaction at the time the order is accepted.

Unless otherwise stated, quotations are valid for 10 business days and remain subject to prior sale, availability, and final confirmation.

Prices do not include shipping, insurance, duties, taxes, or other fees unless specifically stated. Buyers are responsible for all applicable taxes and fees unless a valid exemption certificate is provided and accepted before the transaction is completed.

Cyndtek reserves the right to correct pricing, description, quantity, or other clerical errors before shipment. If a material error affects an accepted order, Cyndtek will notify the buyer before proceeding.

Payment Terms

Payment terms are those stated on the applicable quotation, invoice, or order confirmation.

For approved credit accounts, payment is due within the agreed payment period. Unless otherwise stated, overdue balances may be subject to a finance charge of up to 1.5% per month or the maximum amount permitted by law.

Cyndtek may modify or withdraw credit terms based on payment history, creditworthiness, or other business considerations.

Buyers are responsible for reasonable costs associated with collecting valid past-due balances, where permitted by law.

Shipping & Delivery

Shipping terms will be those stated on the applicable quotation, invoice, or order confirmation.

Unless otherwise agreed in writing, title and risk of loss transfer to the buyer when the shipment is delivered to the carrier.

Delivery dates and transit times are estimates only and are not guaranteed. Cyndtek is not responsible for delays caused by carriers, customs, weather, natural events, governmental action, labor disruptions, shortages, or other circumstances beyond our reasonable control.

Buyers are responsible for providing accurate shipping information and any information required for international shipment, customs clearance, or delivery.

Warranty & Liability

To the extent available, applicable manufacturer warranties may be passed through to the buyer.

Unless otherwise stated in writing, Cyndtek provides a one-year limited warranty from the date of delivery covering defects in material condition attributable to the product as supplied by Cyndtek.

If a valid warranty claim is approved, Cyndtek may, at its option, repair the product, replace the product, issue a credit, or refund the applicable purchase price.

Cyndtek’s liability relating to any product or transaction will not exceed the amount paid for the affected product.

To the maximum extent permitted by law, Cyndtek will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, loss of production, loss of data, or business interruption.

Returns & Cancellations

Eligible products may be returned within 15 calendar days of the applicable order completion or delivery date, subject to Cyndtek approval.

All return requests must be authorized before material is shipped back. Customers may initiate eligible return requests through their Cyndtek account or by contacting Cyndtek directly.

Returned products must be in the same condition in which they were supplied and, where applicable, in original packaging with labels, trays, reels, tubes, documentation, or other materials intact.

Cyndtek may reject returns that are incomplete, damaged, altered, improperly handled, or otherwise not in the condition originally supplied.

Approved refunds or credits will be processed after returned material has been received and inspected. Original shipping charges are non-refundable unless the return resulted from a Cyndtek shipping error.

Products designated as NCNR, special order, customer-specific, programmed, modified, tested to customer requirements, or otherwise identified as non-returnable are not eligible for cancellation, return, or refund unless Cyndtek agrees otherwise in writing.

Shortages, Errors, & Damages

Claims involving shortages, incorrect material, shipping errors, or visible physical damage must be reported to Cyndtek within 10 calendar days of delivery.

Customers should retain the original packaging, shipping labels, and affected material while a claim is being reviewed.

Product Condition & Inspection

Product condition, packaging, date code, quantity, and other material details are based on information available at the time of sale and may vary by transaction.

Buyers are responsible for reviewing applicable specifications, photographs, date codes, packaging details, and other material information provided before purchase.

For brokered, obsolete, excess, or hard-to-find material, additional inspection, testing, photographs, or documentation may be available upon request before shipment.

Export Compliance

Buyers are responsible for complying with all applicable United States and international import, export, sanctions, and trade-control laws.

Products may not be exported, re-exported, transferred, or used in violation of applicable law or supplied to restricted countries, entities, persons, or prohibited end uses.

Cyndtek may refuse or cancel a transaction if required for legal, regulatory, sanctions, export-control, or compliance reasons.

Use of Products

Unless specifically certified in writing for a particular application, products supplied by Cyndtek are not represented as suitable for life-support, critical medical, nuclear, weapons, or other applications in which product failure could reasonably result in death, personal injury, or severe property or environmental damage.

The buyer is responsible for determining whether a product is appropriate for its intended application and for obtaining any required qualification, testing, or certification.

Intellectual Property

Any trademarks, software, technical documentation, designs, patents, copyrights, or other intellectual property associated with third-party products remain the property of their respective owners.

Cyndtek does not acquire or transfer intellectual property rights merely by distributing or reselling a product, except as expressly authorized by the applicable rights holder.

Force Majeure

Cyndtek is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fires, severe weather, epidemics, war, terrorism, labor disputes, supply shortages, transportation disruptions, governmental restrictions, cyber incidents, or failures of utilities or communications systems.

Performance and delivery schedules may be reasonably extended while such conditions continue.

Website Orders & Product Availability

Products displayed on Cyndtek.com are subject to availability and prior sale.

Inventory quantities, pricing, product descriptions, images, and specifications are provided in good faith but may contain errors or become outdated.

Cyndtek reserves the right to correct errors, limit quantities, reject orders, or cancel transactions before shipment when inventory, pricing, product information, fraud concerns, compliance requirements, or other material issues make fulfillment impractical or inappropriate.

If Cyndtek cancels a prepaid order before shipment, any applicable payment received for the canceled portion will be refunded.

Entire Agreement

These Terms & Conditions, together with the applicable quotation, invoice, order confirmation, and any written terms expressly accepted by Cyndtek, constitute the agreement between Cyndtek and the buyer regarding the transaction.

No conflicting or additional terms contained in a buyer’s purchase order or other document will modify these Terms & Conditions unless expressly accepted by Cyndtek in writing.
